Delaware
More than half a million business
entities have their legal home in Delaware, including more than 50
percent of all U.S. publicly-traded companies and 60 percent of the
Fortune 500. Businesses choose Delaware because of its modern and
flexible corporate laws, its business-friendly environment and its
highly respected judicial system. The state is home to the Delaware
Court of Chancery, which decides many of the nation’s leading business
cases; the U.S. District Court for the District of Delaware, which
decides many of the nation’s leading intellectual property disputes; and
the U.S. Bankruptcy Court for the District of Delaware, which decides
many of the nation’s largest bankruptcy cases.
Delaware has seen dramatic changes in
its economic climate since the 1980s. As a result, many of the world’s
largest banks, financial institutions and insurance, chemical,
pharmaceutical and health care companies have established or expanded
their operations in Delaware. StayLaw opened its Delaware
office in 1999, in response to the unique role Delaware plays in the
increasingly complex needs of our national and international clients.
Our Delaware Business Reorganization &
Bankruptcy Practice represents clients before the state’s nationally
recognized bankruptcy and business courts. Our attorneys have wide-ranging
experience representing all of the key parties in bankruptcy cases, as
well as counseling troubled companies on reorganization or restructuring
alternatives, and resolving business disputes through negotiation or
litigation. We have played a role in many of the significant bankruptcy
cases filed in Delaware over the last decade.
Attorneys in our Corporate Practice
represent boards of directors, management, special committees and
significant shareholders of Delaware corporations. We advise such
national and international clients on myriad corporate and commercial
law matters, including mergers and acquisitions, the delivery of
Delaware third-party legal opinions and non-consolidation opinions,
corporate trust services, secured transactions, commercial lending,
insurance law and venture capital investments. We also counsel clients
on Delaware’s General Corporate Law, alternative entity law and
administrative laws.
Our corporate attorneys work closely,
both in and outside of Delaware, with our Litigation Practice to ensure
that our clients understand and can properly evaluate the risks inherent
in today’s corporate environment. Our litigators represent national and
international clients in a wide variety of complex business and
commercial disputes in Delaware’s federal and state courts, including
those courts mentioned above. Our experience includes some of the
largest bankruptcy, intellectual property and corporate disputes in the
country.
As a firm, we value commitment to
civil service, and our Delaware attorneys have held high positions in
many sectors of government. Our team includes an executive committee
member of the New Castle Co. Leadership Foundation and the former
president of the International Women’s Insolvency & Restructuring
Confederation–Delaware Network. Members of our team also serve in the
Delaware State Bar Association as the vice president of the Women and
the Law Section, the chair of the Multicultural Judges and Lawyers
Section, the chair of the Disaster and Hurricane Relief Committee, and a
member of the Nominating Committee. In addition, our attorneys are
involved in the community at large, whether volunteering for the Office
of the Child Advocate or serving as board members of local not-for-profit
organizations, such as The Bethesda Clinic, Inc. and Supporting Kidds,
Inc., The Center For Grieving Children and their Families.
